These Terms of Use ("Terms") govern your access to and use of hanleytech.com and the services offered by HANLEY TECH (PTY) LTD ("Hanley Tech", "we", "us", "our"). By accessing or using the website you agree to be bound by these Terms. If you do not agree, please do not use the site.

Acceptance of Terms

The website operates under the corporate identity of HANLEY TECH (PTY) LTD. Your use of the site constitutes your acceptance of these Terms together with our Privacy Policy. We recommend that you keep a copy of these Terms for your records.

By visiting the website or sending us an email, you are communicating with us electronically. You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

If you register for an account or for a service, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your devices. You accept responsibility for all activities that occur under your account. Accounts may not be assigned or transferred without our prior written consent. Hanley Tech reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our discretion.

Children under thirteen

Hanley Tech does not knowingly collect personal information from children under the age of thirteen. If you are under eighteen, you may use this website only with the involvement of a parent or guardian.

Service engagement, cancellation and refunds

Managed and subscription services: Cancellations of subscription-based managed services may be requested in writing within thirty (30) days of activation for a refund of the unused portion. After thirty days, contractual notice periods apply as set out in the relevant service agreement. For questions, contact info@hanleytech.com.

Hardware and product sales: Returns must be requested within fifteen (15) days of delivery and must be in their original, unopened condition with all packaging, accessories and documentation. A reasonable restocking fee may apply. Factory defects are addressed through equivalent-product exchanges in line with the manufacturer's warranty. Standard hardware carries a thirty-day workmanship warranty unless otherwise stated; warranty claims do not include shipping or on-site labour costs.

Links to third-party sites and services

The website may contain links to websites operated by third parties. Hanley Tech does not control these sites and is not responsible for their content, accuracy or privacy practices. Links are provided for convenience and do not constitute endorsement.

Acceptable use and intellectual property

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the website in accordance with these Terms. You agree that you will not use the website for any unlawful purpose or in any way that could damage, disable, overburden or impair the website, or interfere with another party's use of it.

All content on the website — including text, graphics, logos, images, software and the compilation thereof — is the property of HANLEY TECH (PTY) LTD or its suppliers and is protected by South African and international copyright and intellectual property laws. You may not modify, publish, transmit, reverse engineer, transfer, sell, create derivative works from, or otherwise exploit any content, in whole or in part, without our express written permission. No ownership rights are transferred to you by your use of the website.

International users

The website is operated from South Africa. If you access the website from outside South Africa, you are responsible for compliance with all applicable local laws. You agree not to use the website or its content in any country or in any manner prohibited by applicable law.

Dispute resolution

Any dispute arising out of or relating to these Terms or your use of the website shall first be addressed through good-faith negotiation between the parties. Where the dispute cannot be resolved through negotiation, it shall be referred to arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), conducted by a single arbitrator in Centurion or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver

To the maximum extent permitted by applicable law, all disputes shall be brought on an individual basis. You agree that you will not bring any claim as a plaintiff or class member in any class, consolidated or representative action against Hanley Tech.

Disclaimer of warranties

The website, its content and any services provided through it are made available on an "as is" and "as available" basis to the maximum extent permitted by applicable law. Hanley Tech and its suppliers make no representations or warranties — express or implied — regarding the suitability, reliability, availability, timeliness or accuracy of any content, products or services. All implied warranties of merchantability, fitness for a particular purpose, title and non-infringement are disclaimed to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by applicable law, Hanley Tech and its suppliers shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages — including loss of use, data, revenue or profits — arising out of or related to your use of the website or any services obtained through it, whether based in contract, delict, negligence, strict liability or otherwise. Where applicable law does not allow such exclusions, our liability is limited to the maximum extent permitted by that law. Your sole and exclusive remedy for dissatisfaction with the website is to discontinue using it.

Indemnification

You agree to defend, indemnify and hold harmless HANLEY TECH (PTY) LTD, its directors, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the website.

Termination and access restriction

Hanley Tech reserves the right, in its sole discretion, to terminate your access to the website or any portion of it at any time, without notice. These Terms are governed by the laws of the Republic of South Africa, and you agree to submit to the exclusive jurisdiction of the courts of Gauteng, South Africa, in respect of any dispute arising from or relating to your use of the website. The website may not be used in any jurisdiction that does not give effect to all of the provisions of these Terms.

Nothing in these Terms creates a joint venture, partnership, employment or agency relationship between you and Hanley Tech. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Changes to these Terms

Hanley Tech reserves the right to update these Terms from time to time. The most current version supersedes all previous versions. We encourage you to review this page periodically to stay informed of any changes. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
